This End User License Agreement ("EULA") sets the terms and conditions under which the developer (including any seller) grants the user (whether a corporation or an individual) the right to use the software (the "Software").
Please read this Agreement carefully before using the Software. By using the Software or clicking the "Agree" button provided within the Software, you agree to be bound by the terms of this Agreement.
1. Copyright
All intellectual property rights, including copyright in the Software, belong to the developer. The Software is licensed to the user under the terms of this Agreement and no ownership or intellectual property rights are transferred to the user.
2. License
Subject to the terms of this Agreement, the user is granted a non-exclusive right to use the Software. The user may make a temporary copy of the Software for backup purposes.
3. Prohibited Conduct
Without prior written consent of the developer, the user shall not engage in any of the following acts:
- Infringing the copyright or intellectual property rights of the Software.
- Distributing, transferring, selling, or reselling the Software to third parties.
- Reverse engineering, decompiling, or disassembling the Software to analyze it.
- Selling products that incorporate all or part of the Software.
The user shall not cause any third party to perform the acts set forth above.
4. Warranty
The Software is provided "as is" and the developer does not warrant that it is fit for any particular purpose. The developer does not guarantee that the Software will operate correctly in the user's environment.
5. Limitation of Liability
The developer shall have no obligation to repair or maintain the Software. The developer shall not be liable for any damages arising out of the use of the Software by the user or any third party. The user is responsible for backing up any data generated using the Software. The developer will not be liable for any loss or corruption of data.
6. Intended Use
Before using the Software, users must back up all important data. The Software is not designed for high-risk uses (such as applications where safety of life or severe environmental damage is at stake). The Software must not be used in violation of laws or public order and morals.
7. Termination
The developer may terminate this Agreement immediately without notice if the user breaches any provision of this Agreement. Even after termination, Articles 3 and 5 shall survive.
8. Other
If the user exports the Software outside the country, the user must comply with the laws of the destination country.
9. Governing Law and Jurisdiction
Any disputes arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the district court having jurisdiction over the developer's location as the court of first instance.
